Terms of Service and Sale

Terms & Conditions

The contractual framework of your FEDPAWA services

These Terms of Service and Sale govern access to the fedpawa.com website, the creation of client accounts and the purchase of services from FEDPAWA CORPORATE SOLUTIONS SARL. Any order or use of the client area implies full and complete acceptance of these terms.

Last updated: October 2026

1. Object and acceptance

Scope of these terms
  • These Terms of Service govern browsing the website and using the client area; the Terms of Sale govern any subscription: commercial domiciliation, company formation, contract drafting, tax advisory, OAPI filings.
  • Acceptance is materialised by the checkboxes on the registration and subscription forms. The signed domiciliation convention (provision of infrastructure and services) takes precedence over these Terms of Sale in case of divergence on domiciliation services.
  • The KYC Charter, accepted at subscription, forms an integral part of the contractual framework.

2. Client accounts

Creation, accuracy, security
  • Creating an account requires accurate and up-to-date information: identity, company, e-mail, phone. The client undertakes to keep it up to date.
  • The password is personal and confidential. Any activity carried out through the account is deemed performed by the client. Any suspicion of fraudulent use must be reported without delay to [email protected].
  • FEDPAWA may suspend or close an account holding false information, used for unlawful purposes or in breach of these terms, after informing the client.
  • The account gives access to procedure tracking, KYC documents, scanned mail, invoices and tax certificates.

3. Subscriptions and orders

Online subscription process
  • Offers, plans and prices displayed on the website are expressed in FCFA excluding taxes unless stated otherwise. The order is confirmed through the subscription tunnel, then formalised by the corresponding contract.
  • Subscribing to the domiciliation service is subject to prior KYC validation of the client and their company (identity documents and formation documents required by the KYC Charter).
  • FEDPAWA reserves the right to refuse an order that does not comply with its legal vigilance obligations, refunding any sums already paid.
  • The electronic signature of contracts has the same legal value as a handwritten signature under the conditions of Law No. 2010/012 of 21 December 2010.

4. Mobile Money payments

Orange Money / MTN MoMo
  • Payment is made by Mobile Money (Orange Money or MTN MoMo). The client enters their number and confirms the transaction by USSD on their phone; the payment order is deemed given by the holder of the line.
  • The service is activated after confirmation of effective collection. An invoice or receipt is available in the client area.
  • Should a debited transaction fail to activate the service, the client reports the incident; FEDPAWA uses its best efforts to regularise or refund after verification with the operator.
  • Any Mobile Money operator fees remain borne by the client.

5. Mutual commitments

What each party undertakes to do
  • FEDPAWA undertakes to: provide the subscribed services diligently and in accordance with regulations (OHADA, Cameroonian law); guarantee the confidentiality of documents entrusted to it; scan and make mail available; issue invoices and certificates; inform the client of any development affecting their service.
  • The client undertakes to: provide accurate, authentic and truthful information and documents; not use the domiciliation or services for unlawful, fraudulent or money-laundering purposes; pay amounts due on the agreed due dates; comply with the KYC Charter and report any change affecting their company.

6. Term, termination, suspension

Exiting the contractual relationship
  • Termination: either party may end the domiciliation convention with 15 days' written notice, in accordance with Article 9 of the domiciliation contract.
  • Suspension for late payment: should a payment remain outstanding for more than 10 days, FEDPAWA may suspend the services (including mail reception and availability) until full payment, in accordance with Article 10 of the contract.
  • Mail after termination: uncollected mail is kept for 30 days after the end of the service and then securely destroyed, without liability on FEDPAWA's part, in accordance with Article 11 of the contract. The client arranges mail forwarding and third-party address updates before this deadline.
  • Termination for cause: in case of serious breach (false statements, unlawful use), termination occurs as of right, without prejudice to damages.

7. Liability

Limits and exclusions
  • FEDPAWA is bound by an obligation of means in providing assistance and intermediary services; it is not a party to the client's commercial operations and cannot answer for the commitments the client makes towards third parties.
  • FEDPAWA's liability cannot be engaged in case of force majeure, fault of the client, temporary platform unavailability for maintenance, or delay or failure of third parties (Mobile Money operators, administrations, postal operators).
  • In any event, FEDPAWA's total liability for any damage is limited to the sums actually received by it for the service concerned over the last twelve (12) months.
  • The client remains solely responsible for the accuracy of the information provided and for the use made of the documents made available.

8. Intellectual property, amendments and governing law

Legal framework and disputes
  • Intellectual property: the entire website (text, visuals, logo, structure) is protected; any unauthorised reproduction is prohibited. Contractual documents delivered to the client remain their property.
  • Amendments: FEDPAWA may update these Terms; the applicable version is the one in force at the order date. Clients are informed of any material change by e-mail or in the client area, with reasonable notice.
  • Governing law: these terms are governed by Cameroonian law and, for the matters it unifies, by OHADA law (Uniform Acts), electronic signature being governed by Law No. 2010/012 of 21 December 2010.
  • Jurisdiction: after an attempt at amicable resolution (written complaint to [email protected], reply within 30 days), any dispute falls under the exclusive jurisdiction of the courts of Douala.
  • The protection of your personal data is detailed in the Privacy Policy.
